These Terms govern your use of Orrery, a mobile application for reading the U.S. Centers for
Medicare & Medicaid Services (CMS) Open Payments dataset. Orrery is published by
HBit Technology (“we”, “us”).

By downloading, opening, or using Orrery, you agree to these Terms. If you do not agree, do not
use the app.

1. Who may use Orrery

You must be at least 18 years old, or the age of majority where you live, and able to enter into a
binding contract. If you are using Orrery on behalf of an organisation, you confirm you are
authorised to bind that organisation, and “you” means both you and it.

You may not use Orrery if you are barred from doing so under the laws of the United States or your
country of residence.

2. Your account

Some features need an account. You sign in with Google or Apple; we do not issue passwords. You
are responsible for the security of the account you sign in with and for everything done through
your Orrery account.

Keep your account details accurate. Tell us promptly at
hussain.murtaza@hbittechnology.com if you believe your account has been used
without your permission.

You may delete your account at any time from inside the app. Deletion is permanent and removes
your saved work.

The daily allowance counts records opened, not requests made: opening one record costs one unlock
however many screens it takes to render, and re-opening the same record on the same day is free. The
allowance resets at midnight US Eastern time, which may not be midnight where you are.

We may change what each tier includes. If a change materially reduces what you have already paid
for, we will tell you before it takes effect, and you may cancel for a pro-rata refund of the unused
portion where the law requires one.

4. Subscriptions, billing, and cancellation

  • Where you pay. Subscriptions are sold through the Apple App Store or Google
    Play. Those stores take the payment; we never see your card details.
  • Auto-renewal. Subscriptions renew automatically at the end of each period at
    the then-current price, unless you cancel at least 24 hours before the period ends.
  • Cancelling. Cancel through your App Store or Google Play subscription
    settings. Deleting the app, or deleting your Orrery account, does not cancel a
    subscription.
  • After cancelling. You keep paid access until the end of the period you have
    already paid for. We do not give partial refunds for an unused part of a period unless the law
    requires it.
  • Refunds. Refunds are handled by Apple and Google under their own policies. We
    cannot issue a refund for a store purchase directly.
  • Price changes. We may change prices. Changes take effect at your next renewal
    and only after the notice the relevant store requires.
  • Free trials and promotions. Where offered, these convert to a paid
    subscription at the end of the trial unless you cancel first.

5. The data in Orrery, and where it comes from

Orrery displays the CMS Open Payments dataset: a public federal record of payments and other
transfers of value made by drug and device manufacturers to physicians, other covered recipients, and
teaching hospitals. CMS publishes it; we reproduce it.

You should understand three things about that data:

  1. It can be wrong or out of date. Records are submitted by manufacturers and
    group purchasing organisations. We import periodically, so what you see reflects the last import,
    not today.
  2. Names do not identify people. A large share of recipient profiles share a name
    with another profile. A name alone is never enough to conclude that a particular person received a
    particular payment.
  3. Different kinds of money are not comparable. General, research, and ownership
    payments are distinct categories, are never summed into a single figure in the app, and should not
    be summed by you.

We do not verify, audit, or correct the underlying records, and we cannot change them. Disputes go
to CMS at cms.gov/openpayments;
a correction made there reaches Orrery at our next import.

6. Orrery is not advice

Orrery is a reference tool. Nothing in it is medical, legal, financial, investment, compliance, or
professional advice, and nothing in it is a recommendation about any person or organisation. A
payment record is not evidence of wrongdoing, bias, or an improper relationship. Decisions you make
using Orrery are yours.

7. Prohibited uses

Orrery is not a consumer reporting
agency and Orrery is not a consumer report.
You must not use Orrery, or any information
obtained from it, in whole or in part, as a factor in deciding a person’s eligibility for
credit, insurance, employment, promotion, retention, housing, or any other purpose covered by the
U.S. Fair Credit Reporting Act (FCRA) or any comparable state or foreign law.

You also must not:

  • Use Orrery to harass, stalk, threaten, defame, discriminate against, or intimidate anyone.
  • Present information from Orrery as an allegation of misconduct, or in a way likely to mislead
    about what the underlying record means.
  • Scrape, crawl, bulk-download, or systematically extract data from the app or its backend, or
    use any automated means to access it.
  • Resell, sublicense, redistribute, or build a competing dataset or product from data obtained
    through Orrery.
  • Circumvent, disable, or interfere with the daily allowance, the paywall, authentication, rate
    limits, or any other technical restriction.
  • Reverse engineer, decompile, or disassemble the app, except to the extent the law expressly
    permits it.
  • Probe, scan, overload, or disrupt the service, or attempt to gain unauthorised access to any
    part of it or to another user’s account.
  • Share your account, or use it on behalf of more people than the subscription covers.
  • Use Orrery in violation of any applicable law.

If you want the Open Payments dataset in bulk, get it directly from CMS, which publishes it
free.

8. Your content

Contacts, tags, and notes you create in Orrery are yours. You keep all rights in them.

You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, back up,
and display that content solely to operate the service for you. That licence ends when you delete the
content or your account, except for backups that expire in the ordinary course.

You are responsible for what you write. Do not put anything in a note that you are not permitted
to record — in particular, do not enter patient information or any other data protected by
HIPAA or a comparable law. Orrery is not designed for protected health information, and we are not
your business associate.

We do not routinely review your notes, but we may access them where necessary to operate the
service, to investigate a violation of these Terms, or where the law requires.

9. Our intellectual property

The app, its design, its software, and its name and branding are ours or our licensors’, and
are protected by copyright, trademark, and other laws. We grant you a personal, non-exclusive,
non-transferable, revocable licence to use Orrery on devices you own or control, in line with these
Terms and the app store rules. We reserve all rights not expressly granted.

The underlying Open Payments records are U.S. government public data and are not claimed as ours;
our selection, arrangement, and presentation of them is.

10. Availability and changes

We aim to keep Orrery available, but we do not promise uninterrupted service. We may change,
suspend, or discontinue any part of it, and we may need to take it down for maintenance. Where a
change is significant and we can foresee it, we will give reasonable notice in the app.

11. Suspension and termination

You may stop using Orrery at any time and delete your account from within the app.

We may suspend or terminate your access if you breach these Terms, if we are required to by law,
or if your use puts the service or other users at risk. Where it is reasonable to do so, we will give
you notice and a chance to put it right first. If we terminate your account for a reason other than
your breach, we will refund the unused part of any prepaid period.

Sections 5 through 9 and 12 through 17 survive termination.

12. Disclaimer of warranties

To the fullest extent the law allows, Orrery is provided “as is” and
“as available”
, without warranty of any kind, whether express, implied, or
statutory — including any implied warranty of merchantability, fitness for a particular
purpose, title, non-infringement, or any warranty as to the accuracy, completeness, currency, or
reliability of the data.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the
exclusions above apply only as far as the law permits, and nothing in these Terms limits your
non-excludable statutory rights as a consumer.

13. Limitation of liability

To the fullest extent the law allows, we will not be liable for any indirect, incidental, special,
consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss
of goodwill, arising out of or relating to your use of Orrery — even if we have been advised
that such damages are possible.

Our total liability for all claims relating to Orrery in any 12-month period is limited to the
greater of the amount you paid us for the app in that period, or USD 50.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal
injury caused by negligence, or for fraud.

14. Indemnity

You agree to indemnify and hold harmless [COMPANY NAME] and its officers, employees, and agents
from any claim, loss, liability, or expense (including reasonable legal fees) arising from your
misuse of Orrery, your breach of these Terms, or your violation of any law or third-party right
— including any claim arising from a use prohibited by Section 7.

15. App store terms

  • These Terms are between you and [COMPANY NAME] only, not with Apple or Google.
  • Apple and Google are not responsible for Orrery, its content, its support, or any claim
    relating to it, including product liability, regulatory compliance, and intellectual property
    claims.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them
    against you.
  • You confirm you are not located in a country subject to a U.S. Government embargo or designated
    as a terrorist-supporting country, and that you are not on any U.S. Government list of prohibited
    or restricted parties.
  • Your use must comply with the applicable third-party terms of the App Store or Google Play.

16. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict of
laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in
[COUNTY, STATE], and each of us waives any objection to venue there.

If you are a consumer resident in the EEA, the UK, or another jurisdiction whose law gives you the
protection of your local courts, nothing here deprives you of that right.

Before filing anything, please write to hussain.murtaza@hbittechnology.com. Most
disputes can be resolved that way, and we will engage in good faith for 30 days.

17. General

  • Changes to these Terms. We may update these Terms. We will revise the date at
    the top and, for material changes, notify you in the app or by email before they take effect.
    Continuing to use Orrery afterwards means you accept the updated Terms.
  • Severability. If any provision is held unenforceable, the rest stays in
    force.
  • No waiver. If we do not enforce a provision, that is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign
    them to an affiliate or to a successor in a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for a failure to perform caused by
    events beyond its reasonable control.

Orrery is an independent application. It is not affiliated
with, endorsed by, or sponsored by the Centers for Medicare & Medicaid Services or any U.S.
government agency. Open Payments data is published by CMS and reproduced here as public information.
